Terms and conditions
To be an authorized affiliate of the Bodyscape.net.nz Network (www.bodyscape.net.nz), you agree to abide by the terms and conditions contained in this agreement. Terms of Service AFFILIATE AGREEMENT This Affiliate Agreement (“Agreement”) contains the terms and conditions that apply to participants in the affiliate program (“Program”) of bodyscape.net.nz Network (“BNNN”). By clicking on the “I Agree” button, you are confirming your agreement to be bound by all the terms and conditions of this Agreement. As used in this Agreement, “we”/”our”/”us”, refers to BNNN and “you”/”your” refers to the participant in the Program who has completed and submitted the Affiliate Application form described below and who is entering in this Agreement. “Your site” refers to your World Wide Web site, and “our site” refers to BNNN’s World Wide Web site. AFFILIATE APPLICATION FORM To begin the enrollment process, you will submit a complete Affiliate Application form. We may reject your application if we determine, in our sole and absolute discretion, that your site is unsuitable for the Program. Unsuitable sites include, by way of example only, sites that: • promote violence • promote discrimination based on race, sex, religion, nationality, disability, sexual orientation or age • promote illegal activities or violate intellectual property rights • violate established laws or commonly held standards of decency • are operated by applicants with whom we prefer not to be associated LIMITED LICENSE We grant you a limited, non-exclusive, and revocable license to use our supplied BNNN Online banners and other such images for which we grant express permission solely for the purpose of identifying your site as a participant in the Program and for linking to our site. You may not use the banner or any of our images at any site other than the one identified in the Affiliate Application, and you may not modify the banners or any of our images in any way, or use them for any purpose other than the purposes described in this Agreement, without our express written permission. We reserve all rights to our copyrights, trademarks, trade names and all other intellectual property rights. We also reserve the continuing right to review and approve your site and the method and manner of use of the banner and our other images throughout the term of this Agreement. This Agreement may be canceled at any time by BNNN in its sole and absolute discretion. RIGHT TO TERMINATE Without limiting our rights under this Agreement, if we determine, in our sole and absolute discretion, that you have violated any of the following restrictions, we reserve the right to immediately cancel this Agreement, and you hereby agree that ANY AND ALL OUTSTANDING COMMISSIONS WILL BE FORFEITED. SPAM (unsolicited email) The sending of unsolicited bulk emails which promote, or make reference to BNNN, or any of its associated companies, partners, or employees, is expressly and strictly prohibited. In addition, you may not advertise in any way that effectively conceals or misrepresents your identity, your domain name or your return email address. UNPROFESSIONAL CONDUCT You must operate your site with the strictest Codes of professional conduct. Any conduct that brings BNNN or its associates into disrepute, or promotes any form of slander, racism, or unfair business practices, will result in cancellation of this Agreement and FORFEITURE OF ANY AND ALL OUTSTANDING COMMISSIONS. COMMISSION AND PAYMENT During the term of this Agreement, we will pay you 25% of any and all fees received by BNNN from sales in the BNNN Affiliate program who are referred by you. Payment will be made in one of the two forms listed below. You will need to specify your preferred from of payment when enrolling. • a bank check payable to you in NZD dollars. Checks will be mailed within ten days of the first of the month for the prior month’s sales. For example, commissions for fees received during May will be sent out on or before the 10th of June. Checks will be mailed to you at the address provided in your Affiliate Application. The exchange rate used will be the rate at the time of writing the cheque, not at the time of the sale. • a Paypal payment made as soon as your commission have accrued to USD50 TRACKING OF ENROLLMENTS We will be solely responsible for tracking sales from customers who use your banner or text link. We have no responsibilities with regard to your site, and we have no obligations to you other than those expressly described in this Agreement. We make no representations, warranties or indemnities of any kind. BNNN or its related entities shall have no liability for any indirect, incidental, special or consequential damages or any loss of revenue or profits arising under or with respect to this Agreement or the Program. TERM OF THE AGREEMENT The term of this Agreement will begin upon our acceptance of your Affiliate Application form and your placement of our banner and link on your site and will end when terminated by either party. Either you or we may terminate this Agreement at any time, with or without cause, by giving the other party written notice of termination. All notices under this Agreement, including notices of termination, may be given in the form of email. Upon termination of this Agreement, you must remove all banners, links and other materials provided by us from your site, and you must refrain from using the name and marks of BNNN or any of our other materials in any manner whatsoever without our express written approval. INCOME TAX LIABILITY You must understand and agree that you are acting as an independent contractor and as such will be responsible for your own Income Taxes and any other tax liabilities that affect the sales of our products and services in your country. NO EMPLOYMENT, AGENCY OR PARTNERSHIP As noted above, you and BNNN are independently contracting parties dealing at arm’s length with one another, and no employment, agency, partnership, joint venture or other legal relationship is created between us. You shall not hold yourself out as an agent, employee or representative of BNNN and you shall not purport to make representations or promises or otherwise incur any debt, obligation or liability on behalf of BNNN. You shall indemnify and hold BNNN harmless against any breach of this Agreement. MODIFICATION OF TERMS This Agreement contains the complete and entire agreement between us. We may modify any of the terms and conditions contained in this Agreement, at any time and in our sole discretion, by posting a new agreement on our site. We will use our best efforts to send any modifications by email to all participating affiliates. If any modification is unacceptable to you, you may terminate this Agreement. Your continued participation in the BNNN Affiliate program following notification of our new terms and conditions will constitute binding acceptance of the change. CONFLICTS AND DISPUTES As with any program, a conflict or dispute may occasionally arise due to tracking, commission calculation, performance issues and other matters. Below is outlined how to handle any such situation. - If a concern should arise, send an email stating your full name, your Affiliate ID your address and state the specifics of your concern. Include any dates or numbers that apply. We will attempt to investigate your concern and will reply as soon as possible. - We will try to settle the dispute on mutually agreeable terms. PRIVACY POLICY We ONLY use the information you submit to maintain your account, that is, to send your commission payments and to communicate changes in our programs and agreements. We will NOT email you with any other company\s products or services.... period! We will notify you of new banners and or text links to facilitate promotion of the BNNN affiliate program. We do not sell, rent or otherwise make your personal information available to anyone! This concludes the Agreement. Thank you for taking the time to read it carefully.
